Affiliate Policies & Procedures

Last updated: October 19, 2026

Welcome to the KYANOVO Affiliate program. These Affiliate Policies & Procedures ("Policies") set out how the program works and the standards every Affiliate agrees to keep. They are part of your agreement with Kyanovo International LLC ("KYANOVO," "we," "us" or "our").

We have written them in plain English. Please read them in full before you enroll, buy a pack or share KYANOVO with anyone.

---

1. How these Policies work

1.1 Your agreement with us. Your agreement as an Affiliate is made up of:

  • these Policies;
  • the KYANOVO Compensation Plan;
  • our Terms & Conditions;
  • our Privacy Policy, Cookie Policy, Refund & Shipping Policy and Legal Disclaimers, as they apply to you; and
  • the written terms of any promotion you take part in.

1.2 The Compensation Plan is a separate document. The Compensation Plan sets every rate, amount, cap, rank requirement and bonus calculation. These Policies explain the program in everyday terms and set the rules of conduct. Where these Policies mention a bonus, the Compensation Plan decides how much is paid, when it is earned and how it is calculated.

1.3 If two documents seem to disagree.

1.4 When these Policies apply to you. You accept these Policies when you enroll as an Affiliate. The sign-up form has two boxes you must tick:

  • with the first, you confirm that you are 18 or older and agree to the Terms & Conditions, the Privacy Policy and these Policies, which form your Affiliate agreement together with the Compensation Plan (Section 1.1); and
  • with the second, you agree to contact KYANOVO Support at support@kyanovo.com about any billing question or refund request before contacting your bank or card company. You also confirm that you understand that a chargeback may result in a $30 fee and the termination of your account (Section 12.7), and that Product Point packs are non-refundable (Section 12.1).

We record each agreement with its date, time and IP address. Buying a pack, accepting a commission, or using your member store or back office also confirms that you accept these Policies.

3. Who can become an Affiliate

3.1 Basic requirements. To enroll, and to remain an Affiliate, you must:

  • be at least 18 years old;
  • live in one of the 50 United States or the District of Columbia. We ship only to US addresses, take payment only in US dollars and accept bank payments only from US bank accounts;
  • be legally able to enter into a binding agreement; and
  • give us true and complete information, and keep it current in your back office.

3.2 One account per person. Each person may hold only one Affiliate account. You may not own, control or benefit from a second account, whether it is in your name, someone else's name or a business name. Members of the same household may each hold their own account, as long as each person enrolls in their own name, pays with their own payment method and runs their own business.

3.3 Business entities. After enrolling, you may ask support to move your account into a corporation, LLC or partnership. We decide each request individually and will tell you what information we need. Every owner of an entity account must meet Section 3.1, is bound by these Policies and is personally responsible for the account.

3.4 Our right to accept or decline. We may decline any enrollment. We may also close an account that was opened with false, incomplete or borrowed information.

3.5 Verification. We may ask you to confirm your identity, age, address or tax status. We may hold payments until you do.

3.6 Tax information. Before your first withdrawal (Section 11.4), you will need to give us a completed IRS Form W-9 with your Social Security number or EIN, and we may hold withdrawals until we have it. We do not collect this information yet. We will ask for it, and update our Privacy Policy, before withdrawals open.

---

4. Enrolling

4.1 Enrollment is free. You never have to buy anything to enroll or to stay enrolled.

4.2 A sponsor is required. Every new Affiliate enrolls through an existing Affiliate's referral link or username. That Affiliate becomes your sponsor.

4.3 Retail Customer account or Affiliate account. At sign-up you choose one:

  • A Retail Customer account is a personal account for retail customers. It earns no commissions and has no store or tree positions. Member-store orders are checked out as a guest, whether or not the buyer has an account.
  • An Affiliate account comes with a Matrix position, a Binary position, a member store and a back office.

4.4 Verify your email. You must confirm your email address before you can sign in.

4.5 Your username. Your username becomes your referral link and your store address. You can change it in your back office, and links using your old username will forward to the new one. Your username must not be offensive or misleading. It also must not use another person's name or brand, or suggest that your store is run by KYANOVO itself. We may ask you to change a username that breaks this rule.

4.6 What you can earn on day one. A free Affiliate can earn the Retail Bonus on Customer orders placed in their member store. Every other bonus requires you to buy packs and stay Active (Section 7).

---

5. Your independent business

5.1 You are an independent contractor. You are not an employee, agent, partner, joint venturer, franchisee or legal representative of KYANOVO. You cannot sign contracts, make promises or take on obligations in our name.

5.2 Your time and your methods. Within these Policies, you decide when, where and how you work. You pay your own business costs.

5.3 No territories. No Affiliate has an exclusive territory. You may build your business anywhere these Policies allow.

5.4 Taxes. You are responsible for your own income and self-employment taxes. We do not withhold income tax from your earnings, and you are not covered by our payroll, unemployment or workers' compensation arrangements. We will send you the tax forms the law requires. FBK principal recovery (Section 14), Bonus Kash and travel rewards may also have tax effects. Please ask your own tax adviser.

5.5 Licenses and laws. You are responsible for any business license, permit or registration your business needs where you work, and for following the laws that apply to you.

5.6 No legal or tax advice. Nothing we say or publish is legal, tax or financial advice. Please speak to your own advisers.

---

6. Product Points and packs

6.1 What Product Points are. PP are product credit that you buy in packs. They can be used only for KYANOVO products and the FBK program. PP are not money, a bank deposit, a gift card, a security or an investment.

6.2 Packs.

Pack typeSizes
Join packs14.3 PP, 50 PP, 100 PP
FBK packs500 PP, 1,250 PP, 2,500 PP, 5,000 PP

Current prices are shown in your back office and at checkout. Packs are non-refundable (Section 12.1). Before you buy a pack, you confirm this in a required checkbox, and we record that confirmation with your purchase.

6.3 When PP are credited. PP are credited only after your payment is confirmed. Card payments are usually confirmed straight away. Bank (ACH) payments are confirmed when the payment clears, which can take several business days.

6.4 Spending your Point Balance. You can use the PP in your Point Balance to order KYANOVO products for yourself. Products are priced in PP. Shipping is charged separately, in cash, by card at checkout. If you leave checkout without paying the shipping charge, the PP held for that order go back to your Point Balance.

6.5 PP stay in your account. You may move PP between your Point Balance and your FBK Balance (Section 14). You may not transfer PP to another person, sell them or exchange them for cash. The only exceptions are a refund the law requires, as Section 12.1 explains, or a repurchase when your account closes (Section 28).

6.6 Expiry. Product Points do not expire while your account is open.

6.7 Product and price changes. We may change our products, product PP prices, packs and pack prices. PP already in your balances stay there, but what they buy depends on current product prices.

6.8 Volume comes from packs only. Spending PP on products, moving PP into or out of your FBK Balance, and filling orders from FBK do not create new network volume. See Section 10.2.

---

7. Staying Active and qualifying

7.1 Only your own pack purchases count. Your qualification is based only on packs you buy and pay for yourself. These do not count toward your qualification:

  • purchases by your Customers;
  • purchases by your team; and
  • products you order with PP.

7.2 How the rolling window works. Each pack counts toward your qualification for 31 days from the time its payment is confirmed. After that it drops out of the window.

7.3 What each level opens. The Compensation Plan sets the full requirements and amounts. In summary:

Your PP from own packs in the rolling 31 daysWhat you can earn
Below 14.3 (free or not Active)Retail Bonus only
14.3 or more (Active)Adds Fast Start, the Matrix (15 levels) and, if you are a stockist, FBK Stockist Profit
50 or moreAdds the Binary (up to the cycle limit in the Compensation Plan), Bonus Kash, the Director rank and the Matching Bonus on your first generation, once you are also Binary Qualified
100 or more (Leadership Qualified)All compensation, subject to rank: unlimited Binary cycles, the Business Builder Bonus, the Matching Bonus on more generations, Rank Bonuses and the Lifestyle Bonus

7.4 Binary Qualified. To earn from the Binary, you need at least 50 PP from your own packs in the rolling 31 days. You also need one personal referral with 50 PP or more from their own packs in the rolling 31 days in your left leg, and one in your right leg. If either leg no longer has such a referral, your Binary earnings pause until you qualify again. Your stored leg volume stays in place unless a refund or dispute reverses it.

7.5 Rank. Your paid rank is checked at the close of each commission week (Thursday at 11:59:59 PM Eastern Time). It is based on your Binary cycles and your own PP in the rolling 31 days. The Compensation Plan sets the rank requirements.

7.6 If you are not Active. You keep your account, your store and your tree positions, and you can still earn the Retail Bonus. You will not earn other bonuses until you are Active again. While you are not Active, commissions skip your positions (compression) and pass to the next qualified Affiliate above you.

---

8. Placement in the Matrix and the Binary

8.1 Two positions for every Affiliate. When you enroll as an Affiliate, including as a free Affiliate, you receive one Matrix position and one Binary position. Both are permanent.

8.2 Matrix placement. You are placed in your sponsor's section of the Matrix. Each level fills in a fixed order: first the left spot under every position on that level, from left to right, then the right spots. Because placement is automatic, you may receive people placed by Affiliates above you. This is never guaranteed.

8.3 Binary placement.

  • Your first personal referral is placed in your left leg and your second in your right leg. This gives every Affiliate the chance to build both legs.
  • From your third personal referral, your placement setting in the back office decides where new referrals go:
SettingWhere new referrals go
LeftThe next open spot straight down the outside of your left leg
RightInto your right leg, then the next open spot down its inside edge
Manual ("I'll place them")They wait under Pending placements in your back office until you place each one in an open spot in your own organization
  • Every Affiliate's setting starts at Left. You can change it at any time. Switching to Left or Right also places anyone who is waiting.
  • If you are still waiting to be placed yourself, your referrals are placed after you are.
  • A referral's pack volume counts toward your Binary legs once that referral has been placed.
  • If you use Manual, please place waiting referrals within 7 days. After that, we may place them using the Left setting.

8.4 Placements are final. Once you or a referral are placed, we do not move the position, except to correct our own error.

8.5 The top of the trees. The first account in our system, held by KYANOVO's owner, sits at the top of both the Matrix and the Binary. It earns under the same Compensation Plan rules as every other Affiliate.

8.6 No placement games. You may not influence placement by enrolling people under another sponsor, opening accounts for other people, or using made-up or borrowed identities.

---

9. Inactivity and the 62-day rule

9.1 Your positions are kept. If you stop being Active, your Matrix and Binary positions stay where they are. Commissions skip them until you are Active again (Section 7.6).

9.2 After 62 days in a row without being Active:

  • your personal referrals move to your nearest Active sponsor above you. If that sponsor is not Active either, they move further up the line to the first Active sponsor. If no sponsor above you is Active, they move to the account at the top of the trees (Section 8.5);
  • only the sponsor line changes. The Matrix and Binary positions, yours and theirs, stay exactly where they are; and
  • if a moved referral is still waiting for a Binary position, they are placed using their new sponsor's setting.

9.3 Coming back. If you become Active again after the 62 days, you keep your own positions, but referrals that moved do not return to you.

9.4 The count resets. The 62 days must be continuous. Becoming Active at any point starts the count again.

---

10. How commissions are earned and paid

10.1 The ten parts of the plan. The Compensation Plan has ten parts: the Retail Bonus, Fast Start, FBK Stockist Profit, the Matrix, the Binary, the Business Builder Bonus, the Matching Bonus, Rank Bonuses, Bonus Kash and the Lifestyle Bonus. The Compensation Plan sets the amounts and rules for each one.

10.2 What creates commissions.

  • Packs are the only source of network volume. Fast Start, the Matrix, the Binary, the Business Builder Bonus, the Matching Bonus, Rank Bonuses and Bonus Kash all come from paid pack purchases.
  • Volume is created once. A pack's PP become network volume when its payment is confirmed. Spending those PP on products later, moving them to FBK, or filling orders from FBK never creates the volume again.
  • Retail sales. The Retail Bonus and FBK Stockist Profit are paid on Customer orders placed in member stores.
  • Nothing is paid for enrolling people. Enrolling someone earns nothing by itself. Fast Start is paid on the new Affiliate's first qualifying pack purchase, as the Compensation Plan describes.
  • The Lifestyle Bonus is a pool. It is funded each quarter from a share of KYANOVO's gross profit, as set out in the Compensation Plan. It depends on company results and can be zero.

10.3 Compression. Positions that are not Active are skipped when commissions are calculated, so payments pass to the next qualified Affiliate. The positions themselves are never deleted.

10.4 The pay calendar.

ItemWhen
Commission weekFriday 12:00 AM to Thursday 11:59:59 PM, Eastern Time
Weekly commissionsCredited to your wallet every Friday for the previous full commission week
Business Builder BonusWorked out at the close of each calendar month, Eastern Time, and paid with the next Friday payout
Lifestyle BonusQuarterly, once the quarter's gross profit has been determined. We aim to pay it by the second Friday after each calendar quarter ends
Rank BonusesIn two parts, as the Compensation Plan describes, including a maintenance period for the second part

10.5 Pending and final. Orders and commissions can show as pending during the commission week. They become final at the Friday payout for that week. A final commission can still be reversed later if the order behind it is refunded or disputed (Section 12).

10.6 No guarantee. We do not guarantee any level of commissions, rank or income.

10.7 Checking your earnings. Please review your earnings and tell us about any error within 60 days of the payout date. We may correct any overpayment or underpayment by adjusting your balances.

10.8 Good standing. To be paid, your account must be in good standing. We may hold commissions while we look into a possible breach of these Policies or a possible reversal.

---

11. Your wallet

11.1 Your three cash balances.

BalanceWhat it is for
AvailableMoney you can move now, and withdraw once withdrawals open (Section 11.4)
ReserveMoney you choose to set aside from each payout
TravelMoney you have set aside for travel

11.2 Your Reserve setting. You choose what share of each Friday payout goes to Reserve, from 0% to 100% in steps of 5%. You can change it at any time, and the change applies to future payouts.

11.3 Moving money. You can move money from Available or Reserve into any of your three balances. Travel works one way: money moved into Travel can be used only for travel and cannot be moved back. Travel redemption is not available yet. Which travel qualifies and how bookings work will be set out in written terms when it opens.

11.4 Withdrawals. Withdrawals are not available yet. When they open, you will be able to withdraw your Available balance to a US bank account in your name. The payout schedule, any minimum amount and any fee will be shown in your back office before then.

11.5 Not a bank account. Your wallet is a record of what KYANOVO owes you. It is not a bank, savings or deposit account. It earns no interest and is not insured by any government agency.

11.6 FBK principal recovery. Principal recovery from FBK fills is credited to your Available balance. It is not commission (Section 14.6).

11.7 If we cannot pay you. If we cannot pay you because your details are missing or out of date, we keep the money for you and deal with it as unclaimed-property law requires.

---

12. Refunds, disputes and reversals

12.1 Which policy covers refunds. The Refund & Shipping Policy sets out who can get a refund, the time limits and how to ask. In short:

  • products carry our Satisfaction Guarantee for 30 days from delivery;
  • Product Point packs are non-refundable. That includes join packs, FBK packs and autoship charges. The only exceptions are the repurchase in Section 28 and any refund the law requires, such as for a charge we made in error, a duplicate charge, a charge made after you cancelled your autoship or a charge you did not authorize; and
  • every refund request goes through KYANOVO Support at support@kyanovo.com.

This section explains what a refund or payment dispute does to your business and your team's.

12.2 A reversed pack undoes everything it created. If a pack is refunded, returned, disputed or charged back, we reverse:

  • the PP and qualification it gave the buyer;
  • the Matrix and Binary volume it created, and any Binary cycles that volume completed;
  • any Business Builder credit it created;
  • every commission paid on it, whether to the buyer, the sponsor or anyone else in the upline, including any Matching Bonus on those commissions;
  • any rank or Rank Bonus effects; and
  • any Bonus Kash from the reversed cycles.

We take the pack's unspent PP out of the Point Balance first, then out of the FBK Balance.

12.3 Customer orders. If a Customer order from a member store is refunded or disputed, we reverse the Retail Bonus, the FBK Stockist Profit and the FBK principal recovery paid on it. The PP used to fill the order go back to the stockists who supplied it.

12.4 Your team's refunds can affect you. If someone in your team gets a refund, any commissions you earned from that purchase are reversed too.

12.5 Negative balances. If a reversed commission has already been paid to you, we post a matching negative entry to your Available balance. Your balance can drop below zero. Your future earnings go toward clearing a negative balance first. Bonus Kash can also go below zero if Kash created by a reversed cycle has already been used. If a negative balance has not been cleared within 90 days, we may ask you to repay it and may offset it against your Reserve or Travel balance.

12.6 Partial refunds. Full refunds and disputes are reversed automatically. We look at each partial refund individually and adjust points, volume and commissions by hand to match the part that was refunded.

12.7 Contact support first. Chargebacks. All billing questions and refund requests must go to KYANOVO Support at support@kyanovo.com. You agreed to this when you enrolled (Section 1.4). We can usually fix a problem quickly, and Section 12.1 explains what can be refunded.

If you file a chargeback or payment dispute with your bank or card company over a purchase on your account instead of contacting support first, we treat it as fraud: an attempt to keep products or Product Points without paying for them. It is also a material breach of these Policies. In that case:

  • a $30 chargeback fee applies to each disputed charge, which we may deduct from your balances or ask you to pay;
  • we terminate your account and cancel any autoship on it (Sections 26.2 and 27.3);
  • we reverse the purchase and everything it created, including the related Product Points, commissions and bonuses, as Section 12.2 describes; and
  • we may take lawful steps to recover what you owe us, including the fee, any negative balance and the value of products or Product Points you received but did not pay for.

We answer every dispute with our order, payment and delivery records. Nothing in these Policies takes away any right you have under the law or your card network's rules to dispute a charge. This section sets out what filing one without contacting support first means for your account with us. If a charge appears that you did not make or authorize, reporting it to your bank is not treated as fraud by you, but please also tell support straight away.

12.8 One reversal per event. We never reverse the same purchase or commission twice.

---

13. Bonus Kash and travel

13.1 How Bonus Kash is earned. You earn one Bonus Kash for each paid Binary cycle while you have at least 50 PP from your own packs in the rolling 31 days and are Binary Qualified. Kash is credited when the cycle is recorded, and is reversed if that cycle is later reversed (Section 13.4).

13.2 What Bonus Kash is worth. Each Bonus Kash counts as $1 toward eligible KYANOVO travel, such as group travel, cruises, retreats or other experiences we name.

13.3 What Bonus Kash is not. Bonus Kash has no cash value. You cannot withdraw it, sell it, transfer it or exchange it for cash, PP or products. It does not expire while your account is open.

13.4 Reversals. If a refund or dispute reverses a Binary cycle, the Bonus Kash from that cycle is reversed too. Your Kash balance can go below zero if that Kash was already used.

13.5 Using Bonus Kash. Bonus Kash redemption is not available yet. Bonus Kash can be used only for KYANOVO travel offers when we make them available. Which trips and experiences qualify, the booking and cancellation rules, and whether Kash can be combined with your Travel balance will be set out in the written terms for each offer.

13.6 When an account closes. Unused Bonus Kash ends when your account closes.

13.7 Taxes. Travel you receive using Bonus Kash may count as taxable income. Please ask your tax adviser.

---

14. The FBK Stockist program

14.1 What FBK is. FBK ("Fulfilled by KYANOVO") lets you act as a stockist. The PP in your FBK Balance stand for product inventory that belongs to you. KYANOVO stores that product and ships it to Customers for you. You never handle, store or ship product yourself.

14.2 Who can join. You can use FBK once you have bought at least 500 PP in packs in total, in one pack or across several. Once you reach that point, you stay eligible even if your FBK Balance later drops below 500 PP. Refunded or disputed packs do not count toward the 500 PP, so a reversal can bring your total back below it.

14.3 Moving PP in and out. You can move PP from your Point Balance to your FBK Balance and back again. You cannot order products for yourself straight from your FBK Balance. Move the PP back to your Point Balance first.

14.4 How Customer orders are filled. When a Customer orders from a member store, we fill the order from FBK Balances in this order:

  1. the store owner's FBK Balance;
  2. then each sponsor above the store owner, nearest first.

Stockists who are not Active at the time are skipped. One order can be split across several stockists. Anything no stockist can cover ships from KYANOVO's own stock. No stockist can choose which orders they fill.

14.5 What you receive when your inventory is used.

  • Principal recovery: a cash repayment for the product you supplied, at the inventory value set in the Compensation Plan. It is credited to your Available balance.
  • FBK Stockist Profit: a commission for each order you help fill, worked out in proportion to the PP you supplied and paid with the next Friday payout.

Nothing is paid just for buying FBK inventory. You are paid only when your inventory is actually used to fill an order.

14.6 Principal recovery is not commission. Principal recovery repays you for your own product. It is not commission income under the Compensation Plan. It is paid at the same inventory value whichever pack the PP came from, so PP you moved to FBK from a join pack may be repaid at less than you paid for them. Please ask your tax adviser how principal recovery should be reported for tax purposes.

14.7 No promise of sales. We do not promise that your FBK inventory will be used, or how quickly. Fills depend on Customer orders from member stores in your sponsor line and on your being Active. Your FBK PP may stay unused for a long time.

14.8 Your options. You can move FBK PP back to your Point Balance at any time to order products for yourself. When you close your account, you can also ask us to repurchase them under Section 28.

14.9 No new volume. Filling orders from FBK does not create Matrix or Binary volume (Section 10.2).

---

15. Buy only what you can use or sell

15.1 Packs are product purchases. Buy only the PP that you and your household will reasonably use, share as samples, or, as a stockist, reasonably expect Customers to buy through FBK.

15.2 Do not stockpile. Do not buy more product than you can use or sell just to reach a rank, earn a bonus or help someone else qualify.

15.3 Your own money, your own account. Buy packs in your own account and with your own payment method. You may not:

  • buy packs for another Affiliate or pay for theirs;
  • let anyone else pay for your packs; or
  • offer to cover someone's purchase to persuade them to join or stay Active.

15.4 FBK safeguard. We may decline a new FBK pack purchase while your FBK Balance still holds most of the PP from FBK packs you bought in the last 90 days (for example, more than 70%).

15.5 Talk to us. If you are holding more product than you need, contact us. You may be able to move PP back to your Point Balance or, if you close your account, ask for a repurchase (Section 28).

---

16. Autoship

16.1 Autoship is optional. You never need autoship to enroll, stay enrolled or earn. You can stay Active by buying packs whenever you choose.

16.2 How autoship works. Autoship buys one join pack (14.3, 50 or 100 PP) every 30 days from your start date, charged to your card. Each account can have one autoship.

16.3 Before you start. Check the pack, the price and your billing date before you confirm. You also tick a required box confirming that Product Point packs are non-refundable and that autoship charges the same pack every 30 days until you cancel it in your back office. We record that confirmation with your purchase.

16.4 PP are credited only on payment. If an autoship payment does not go through, no PP are credited until it does.

16.5 Cancel at any time. You can cancel autoship in your back office at any time. To avoid your next charge, cancel before your next billing date. Cancellation takes effect immediately and no further charges are made. You can also email support@kyanovo.com and ask us to cancel it, as Section 8.7 of our Terms & Conditions describes. Cancelling does not refund charges already made: each autoship charge is a pack purchase and is non-refundable (Section 12.1).

16.6 Notices. Your next billing date and the price are shown in your back office. We do not send a separate reminder before each charge. If we ever need to change the price of a running autoship, we will email you at least 30 days before the new price applies, as Section 8.4 of our Terms & Conditions describes, and you can cancel before then.

---

17. Member stores and retail sales

17.1 Your store. Every Affiliate has a member store at kyanovo.com/your-username/shop. It shows KYANOVO products at the retail prices KYANOVO sets. Customers check out as guests, and payment is handled securely by our payment processor. KYANOVO ships every order within the United States and emails the Customer a confirmation and tracking details.

17.2 Prices are set by KYANOVO. You may not change prices or offer your own discounts, coupons, cash back or rebates.

17.3 How sales are credited.

  • Orders placed in your store are credited to you.
  • When someone uses your referral link, our site remembers you on that device for 30 days. If they later use another Affiliate's link, the most recent link counts.
  • Visitors who reach our shop without any referral are sent to a store KYANOVO chooses.

17.4 The Retail Bonus. You earn the Retail Bonus on Customer orders placed in your store, whether or not you are Active.

17.5 Genuine Customers only. The Retail Bonus is for sales to genuine Customers. Orders that you, a member of your household or another Affiliate place for their own use do not qualify, and we may reverse any Retail Bonus paid on them.

17.6 Where you may sell.

  • Make retail sales only through your member store.
  • Do not list KYANOVO products on Amazon, eBay, Walmart Marketplace, TikTok Shop or any other marketplace, auction site or outside checkout.
  • Do not stock KYANOVO products in a shop, gym, clinic or other business premises without our written approval.
  • Products you order with PP are for your personal use and for samples, not for resale.

17.7 Customer service. Send questions about orders, refunds, shipping and products to KYANOVO Support at support@kyanovo.com. Our delivery times are estimates, not guarantees. Do not promise refunds, delivery times or results beyond what our published policies say.

18. Product claims and product safety

18.1 Use our words. Describe KYANOVO products only in the words used in our current approved materials and on our product labels. You may share approved materials exactly as we provide them.

18.2 Health claims you must never make. Never say or suggest that a KYANOVO product:

  • diagnoses, treats, cures, mitigates or prevents any disease or medical condition;
  • can replace medicine or medical care, or allows anyone to stop or reduce a medication;
  • works like a drug, or has been approved or endorsed by the Food and Drug Administration (FDA) or any other government agency.

Also never:

  • link a product to a named disease or condition, such as diabetes, cancer, heart disease, Alzheimer's disease or depression;
  • quote, summarize or reword research yourself in connection with our products, even if the research is real; or
  • promise specific results, such as an amount of weight loss or a change in a test result.

You may share KYANOVO's science pages, and the links they give to the published studies, exactly as we provide them. Those studies were carried out on ingredients, such as L-ergothioneine, not on KYANOVO products. Their findings are reported in the words of the studies' researchers and sponsors. Never present them as showing what a KYANOVO product does.

18.3 Quality claims. Repeat claims about where our products are made, how they are tested or what they contain only exactly as they appear in current approved materials and on the label.

18.4 The required statement. Whenever you describe a product benefit, include this statement: "These statements have not been evaluated by the Food and Drug Administration. This product is not intended to diagnose, treat, cure, or prevent any disease."

18.5 Encourage safe use. Ask people to read the label and talk to a healthcare professional before using any product, especially if they are pregnant or nursing, under 18, taking medication, managing a medical condition or sensitive to caffeine. Some of our products contain coffee. Never give medical advice.

18.6 Reporting a reaction. If anyone tells you they had a bad reaction to a KYANOVO product, send their details to support@kyanovo.com within one business day. Do not try to handle it yourself. We need these reports to meet our legal duties.

18.7 Testimonials. Share only your own honest experience. Do not suggest that your results are typical unless approved materials say so, and never describe an effect on a disease. Always disclose that you are a KYANOVO Affiliate (Section 20.2).

18.8 Product as supplied. Do not repackage, relabel or alter any KYANOVO product or its labeling.

19. Income claims

19.1 Earnings are not guaranteed. Your earnings depend on your own effort and skill, your retail sales, what others in your team do, and the rules of the Compensation Plan. You may earn nothing. If you buy more product than you use or sell, you can lose money.

19.2 What you must not say or show. Do not:

  • state or suggest any amount that you, anyone else or a "typical" Affiliate earns or could earn;
  • show checks, wallet balances, commission statements or screenshots of earnings;
  • make lifestyle claims, such as new cars, homes, luxury travel, quitting your job, financial freedom or "passive income";
  • use words like "guaranteed," "risk-free," "ground floor" or "get in early";
  • present Rank Bonuses, the Lifestyle Bonus, Bonus Kash or travel as typical or certain;
  • suggest that people who join early will earn more or receive a better position; or
  • describe the program as a job or an investment.

19.3 Income Disclosure Statement. We plan to publish an Income Disclosure Statement. Until one is published, Affiliates may make no income claims of any kind. Once it is published, any lawful reference to earnings must be accompanied by it.

19.4 Describe the opportunity accurately. Enrollment is free. Every bonus except the Retail Bonus requires you to buy packs and stay Active in each rolling 31 days. Commissions come from product purchases, not from enrolling people.

---

20. Marketing, advertising and social media

20.1 Say who you are. Identify yourself as an "Independent KYANOVO Affiliate" on every profile, post, video, advertisement, email and business card where you mention KYANOVO. Never suggest that you are KYANOVO, work for KYANOVO or speak for it. Do not use words like "official," "corporate" or "headquarters" about yourself or your pages.

20.2 Disclose your connection. Whenever you recommend KYANOVO, say clearly that you earn commissions, for example "#ad — I'm an Independent KYANOVO Affiliate and earn commissions." Put the disclosure where people will see it before they click, not hidden among hashtags. In videos and live streams, say it out loud as well as on screen.

20.3 Approved materials. Use the approved materials we provide, including those we add to the Resources section of your back office. Any material you create yourself must be approved by KYANOVO in writing before you use it. Send it to support@kyanovo.com. We may withdraw an approval at any time.

20.4 Websites and apps. Use your member store and referral link to sell and to share the opportunity. Social media profiles and posts are allowed if they follow these Policies. Any other website, landing page, app or online store that features KYANOVO needs our written approval.

20.5 Email. Send emails only to people who have agreed to hear from you. Every email must:

  • show who it is from and have an honest subject line;
  • include your valid postal address; and
  • include a working way to unsubscribe, which you must honor within 10 business days.

Never buy, rent or scrape email lists. Keep your own unsubscribe list and honor it. If we give you a list of people who have asked not to receive KYANOVO emails, do not email anyone on it about KYANOVO.

20.6 Texts and calls.

  • Text or call someone only if they have clearly agreed to be contacted that way.
  • Automated or marketing texts and calls need the person's prior written consent.
  • Honor "STOP" and other opt-outs right away, and respect the Do Not Call Registry.
  • Do not contact anyone before 8:00 AM or after 9:00 PM in their local time.

Seeing someone's number in your back office is not permission to text or call them.

20.7 Paid advertising. Paid ads are allowed if they follow these Policies, name you as an Independent KYANOVO Affiliate and link only to your member store or referral link. Ads may not bid on KYANOVO trademarks as keywords or use them in the ad account, page or display name.

20.8 Social media conduct.

  • Do not create pages, groups, handles or profiles that look official.
  • Do not post fake reviews, run fake accounts or spam comments to recruit, including on KYANOVO's own pages.
  • We may review public posts that mention KYANOVO. If we ask you to change or remove a post, please do so within 2 business days.

20.9 Media and public statements. Refer every inquiry from the press, a regulator or a government body to us at support@kyanovo.com. Do not speak on KYANOVO's behalf.

20.10 Selling to your team. You may not sell training, leads, tools or marketing materials to other Affiliates.

20.11 Meetings and events. Any meeting or event you hold about KYANOVO must follow these Policies. Do not promote other businesses or products at KYANOVO meetings, events or groups.

---

21. Trademarks and content

21.1 What we own. We own:

  • the KYANOVO name, wordmark and icon mark;
  • the tagline "Tomorrow Starts Within";
  • our product names, including Ergo and Ruby Rush; and
  • the content on our websites, packaging and materials, including photos, videos and research summaries.

21.2 Your permission to use them. While your account is in good standing, you may use our marks and content only as they appear in approved materials, and only to promote KYANOVO in line with these Policies. This permission is limited and personal. You cannot transfer it, and we can withdraw it.

21.3 What you may not do. You may not:

  • alter, recolor or recreate our logo or wordmark;
  • use our marks, or anything confusingly similar, in a business name, entity name, domain name, email address, social media handle, page or group name, directory listing or app;
  • register a domain, handle or trademark that contains or resembles our marks, anywhere in the world;
  • make or sell merchandise that carries our marks; or
  • use the names of our suppliers or manufacturers.

Your kyanovo.com referral link and store address are fine to share.

21.4 Handing over. If you register anything that breaks Section 21.3, you will transfer it to us at our request.

21.5 Your testimonials and likeness. When you send us a testimonial, photo or video and agree that we may use it in our marketing, you allow us to use it with your name and likeness without payment. You can ask us to stop using it in new materials at any time. Tagging KYANOVO in a post is not, by itself, that agreement.

21.6 When permission ends. Your permission to use our marks and content ends when your account closes or we withdraw it. You must then stop using them.

---

22. Professional conduct

22.1 Honesty and respect. Be honest, courteous and professional with everyone you meet as an Affiliate, including prospects, Customers, other Affiliates and KYANOVO staff.

22.2 No pressure or deception. Do not use high-pressure or misleading sales or recruiting methods, and accept "no" graciously. Do not enroll:

  • anyone under the minimum age;
  • anyone who cannot legally contract; or
  • anyone without their full knowledge and consent.

22.3 No disparaging. Do not run down KYANOVO, its products, other Affiliates or other companies. If you have a concern, raise it with us privately.

22.4 No special access. Do not claim a special relationship with KYANOVO's owners, leaders or staff, or knowledge of non-public plans.

22.5 No cross-line recruiting. Do not encourage an Affiliate or Customer in another part of KYANOVO to move to your team or anyone else's. Do not help anyone open a new account to get around their current sponsor.

22.6 Other businesses. You are free to take part in other businesses, including other direct-selling companies. But while you are an Affiliate, and for 12 months after your account closes, you may not recruit any KYANOVO Affiliate or Customer whom you did not personally sponsor into another direct-selling or network-marketing business, either yourself or through someone else. This applies only to the extent the law where you live allows. Do not promote other businesses through KYANOVO events, groups or back-office information.

22.7 Legal matters. Tell us within 5 business days if you receive a legal claim, a regulator's inquiry or a formal complaint that relates to KYANOVO or your KYANOVO business.

22.8 Follow the law. Follow all laws that apply to your business, including consumer-protection, advertising, privacy and tax laws.

22.9 No fraud. Never use another person's payment method, identity or account. Do not place false orders or try to manipulate commissions, ranks or volume.

---

23. Confidential information and privacy

23.1 What is confidential. The following belong to KYANOVO and are confidential:

  • team and genealogy information, including Matrix, Binary and personal-referral views;
  • lead and contact details in your back office;
  • Customer information;
  • commission, volume and rank data; and
  • any non-public plans or materials.

23.2 How you may use it. Use confidential information only to support Customers and Affiliates in your KYANOVO business. Do not use it for any other business. Do not copy, export, sell or share it, and do not post screenshots that show other people's information.

23.3 Leads and personal information. When someone shares their details through a form connected to your referral link, those details may appear in your back office. You must:

  • use them only for your KYANOVO business;
  • keep them secure;
  • honor every opt-out; and
  • never sell or share them.

We may remove leads from your back office.

23.4 Your login. Keep your password private and do not share your account. You are responsible for everything done through your login. Tell us right away if you think someone else has accessed it.

23.5 What others can see about you. Your sponsor and upline may see information such as your name, your username, your positions and your activity. We may recognize your rank and achievements publicly, including your name and photo, unless you ask us not to by emailing support@kyanovo.com. Our Privacy Policy explains how we handle your personal information.

23.6 Data problems. If personal information you hold is lost, stolen or exposed, tell us right away.

23.7 After you leave. When your account closes, stop using all confidential information and delete it. This obligation continues after your account closes.

---

24. Sponsor changes, transfers and succession

24.1 Your sponsor is permanent. Your sponsor does not change except in these cases:

  • Correction: if you were enrolled under the wrong sponsor by mistake, ask support within 7 days of enrolling, before you buy your first pack and before anyone is placed below you. We may correct it if the error is clear.
  • The 62-day rule: referrals move automatically under Section 9.
  • Our discretion: in rare cases, such as fraud, we may change a sponsor.

24.2 Re-enrolling. You may enroll again, under any sponsor, only after your account has been closed for 6 months. A new account starts fresh, with new positions. Your earlier positions, rank, referrals and balances do not carry over.

24.3 Selling or transferring an account. An account may be sold, given or transferred only with our written approval. The new holder must meet Section 3 and must not already hold an account, and the positions transfer as they are.

24.4 Death or incapacity. If an Affiliate dies or becomes incapacitated, the account may pass to their heir, estate or legal representative once we receive proper documents, such as a death certificate and letters of administration or a court order. The new holder must accept these Policies, and we may hold payments until the transfer is complete.

24.5 Divorce, separation or a business split. We keep dealing with, and paying, the account holder of record until we receive a court order or a written agreement signed by everyone involved. We do not divide positions or create new accounts from an existing one.

24.6 Changes in an entity account. Tell us about any change in the owners of an entity account. Every new owner must meet Section 3.

---

25. Promotions, recognition and the Founding Affiliate program

25.1 Promotions have their own terms. From time to time we may run promotions, contests, incentives, retreats and recognition programs, including the Founding Affiliate recognition described in your back office. Each one runs only under its own written terms. None of them changes the Compensation Plan unless its terms say so.

25.2 Founding Affiliates. Founding Affiliate recognition is for the first 500 Affiliates to enroll by November 15, 2026. Its benefits are recognition benefits, offered at our discretion and, once published, under the program's written terms. No Founding benefit guarantees volume, cycles or earnings, and Section 19.2 still applies: do not present Founding status as a way to earn more or to get a better position. Advisory Board seats and retreat invitations are limited. Retreat dates, locations and format may change, and a retreat may be cancelled.

25.3 Events and travel. Taking part in company events, retreats and trips is subject to their own terms, including any travel, conduct and cancellation rules.

25.4 Changes. We may change or end a promotion as its terms allow.

---

26. How we enforce these Policies

26.1 Steps we may take. If we believe you have broken these Policies, the Compensation Plan or the law, we may do any of the following:

  • tell you about the problem and ask you to fix it, normally within 10 days where it can be fixed;
  • ask for a written promise that it will not happen again;
  • hold or reverse commissions connected with the breach;
  • pause your commissions, your store, your back office or your ability to buy;
  • remove a rank, recognition or promotion reward;
  • end your account; or
  • seek any other remedy the law allows, including a court order.

26.2 Serious breaches. For serious breaches, we may act right away without a cure period. Examples include fraud, false information, payment fraud (including a chargeback filed instead of contacting support, as Section 12.7 describes), health claims that could put people at risk, illegal conduct and harassment.

26.3 Notice and your reply. We will notify you by email at the address on your account. You may reply with any information you want us to consider within 10 days of our notice.

26.4 Ending the agreement without a breach. We may also end this agreement for any reason by giving 30 days' written notice.

26.5 Effect of termination. Section 27.3 applies when we end an account. If we end an account for a breach, we may hold unpaid commissions connected with the breach, or needed to cover losses it caused, as far as the law allows.

---

27. Resigning and what happens when an account closes

27.1 You can resign at any time. Email support@kyanovo.com from the email address on your account. Your resignation takes effect on the day we receive it, or on a later date you name.

27.2 Autoship. We cancel any autoship when we process your resignation. To stop charges right away, also cancel it in your back office.

27.3 When your account closes, whether you resign or we end it:

  • you stop earning, and we may switch off your member store, referral link and back office;
  • your Matrix and Binary positions stay in place but are treated as not Active from then on, and no one takes them over;
  • your personal referrals move to your nearest Active sponsor in the same way as under Section 9. We may move them sooner than the 62 days;
  • commissions earned up to the closing date are paid on the normal schedule, less any reversals and any negative balance;
  • your Available, Reserve and Travel balances are paid to you once any reversals for the period have cleared and withdrawals are available (Section 11.4), and unused Bonus Kash ends; and
  • you may ask us to repurchase eligible unspent PP under Section 28. All other unspent PP end when your account closes. PP that are eligible for repurchase remain available for a request until the 30-day period in Section 28.1 ends.

27.4 Coming back. You may enroll again after the waiting period in Section 24.2.

27.5 What continues after your account closes. Your obligations under these Policies continue where they are meant to, including:

  • confidentiality (Section 23);
  • the recruiting rule in Section 22.6;
  • reversals, the chargeback fee and any negative balance (Section 12);
  • our trademarks (Section 21);
  • disputes (Section 30); and
  • your promise to cover losses (Section 31.6).

---

28. Repurchase of unspent Product Points

28.1 Our repurchase promise. When your account closes, whether you resign or we end it, you may ask us to repurchase the unspent PP in your Point Balance and FBK Balance that came from packs bought in the 12 months before your request. We pay 90% of the net price you paid for them, not counting any tax. Send your request to support@kyanovo.com with your resignation or within 30 days after your account closes. This repurchase is the only way unspent PP can be turned back into money, apart from a refund the law requires (Section 12.1).

28.2 A repurchase works like a refund. The reversals in Section 12 apply to the PP we repurchase, including commissions that you and others earned on those packs.

28.3 Payment. We pay you using the original payment method where we can. We may deduct anything you owe us, such as a negative balance.

28.4 Spent PP. PP you have already spent on products cannot be repurchased. Product returns follow the Refund & Shipping Policy.

28.5 Your other rights. This repurchase is in addition to your rights under the Refund & Shipping Policy. If the law where you live gives you greater rights, those rights apply.

---

29. Changes to these Policies and the Compensation Plan

29.1 We may make changes. We may change these Policies, the Compensation Plan, our products, our prices and our packs.

29.2 Notice. We will tell you about a material change by email and in your back office at least 30 days before it takes effect. Corrections, clarifications and changes the law requires may take effect sooner.

29.3 Not backdated. A change does not take back commissions already earned under the earlier rules. A change to Section 30 does not apply to a dispute that either of us already knew about.

29.4 Your choice. If you do not agree with a change, you may resign before it takes effect. If you carry on as an Affiliate after it takes effect, you accept the change.

29.5 Current version. The current version of these Policies is always available on our website. You can ask for the current Compensation Plan at any time by emailing support@kyanovo.com.

---

30. Disputes and governing law

30.1 Talk to us first. If you have a dispute with KYANOVO, email us at support@kyanovo.com and describe the problem and the outcome you want. We will both try in good faith to resolve it for 30 days before either of us starts a formal claim.

30.2 Disputes between Affiliates. Try to resolve disagreements with other Affiliates privately and respectfully. We may help, but we do not have to. These Policies are between you and KYANOVO, and one Affiliate cannot enforce them against another.

30.3 Arbitration. Any dispute we cannot resolve informally will be decided by binding individual arbitration, not in court, except as Section 30.4 allows. The arbitration is administered by the American Arbitration Association (AAA) under its rules then in effect, and the Federal Arbitration Act governs this section. It works on the same terms as Section 20 of our Terms & Conditions, including hearings by video conference or in the US county where you live. You may opt out of arbitration by emailing support@kyanovo.com within 30 days of first accepting these Policies, with the subject line "Arbitration opt-out", your name, the email address on your account and a clear statement that you are opting out. If you opt out, disputes go to the courts named in Section 30.6.

30.4 Exceptions. Either of us may:

  • bring an individual claim in small-claims court; or
  • ask a court for an injunction or similar relief to protect our trademarks and other intellectual property or confidential information, to stop unauthorized access to our systems, or to enforce the recruiting rule in Section 22.6.

These are the same exceptions as in Section 20.3 of our Terms & Conditions.

30.5 Individual claims only. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective or representative action, to the fullest extent permitted by law. As Section 20.4 of our Terms & Conditions provides, you and KYANOVO each give up the right to a jury trial.

30.6 Governing law. These Policies are governed by the laws of the State of Florida, without regard to its conflict-of-law rules, except that the Federal Arbitration Act governs Section 30.3 and except where the law where you live requires otherwise. Any court proceeding allowed under these Policies, including one under Section 30.4 or after an opt-out, will be held in the state or federal courts located in Florida.

30.7 Consistency with our Terms. This section is meant to match the dispute-resolution section of our Terms & Conditions. If the two ever differ, the Terms & Conditions control.

---

31. General terms

31.1 Entire agreement. The documents listed in Section 1.1 are the whole agreement between you and KYANOVO about the Affiliate program. They replace any earlier promises or statements on the same subject.

31.2 Severability. If any part of these Policies cannot be enforced, the rest still applies, and that part is applied as fully as the law allows.

31.3 No waiver. If we do not enforce a rule in one case, we can still enforce it later or in other cases.

31.4 Assignment. You may not transfer your agreement without our written approval (Section 24.3). We may transfer it to a successor, for example in a merger or a sale of our business.

31.5 Limits on our liability. To the fullest extent permitted by law, KYANOVO is not liable to you for indirect, incidental, special or consequential losses, or for lost profits, arising from the Affiliate program. Our total liability to you for any claim about the Affiliate program is limited to the greater of the amount you paid us in the 12 months before the claim arose or US $100, the same cap as in Section 18 of our Terms & Conditions. This section does not limit your refund or repurchase rights, our duty to pay commissions you have earned under the Compensation Plan, or anything the law does not allow us to limit.

31.6 Covering our losses. You agree to cover KYANOVO's losses, costs and reasonable legal fees arising from your breach of these Policies, from statements you make that are not in our approved materials, or from your breaking the law.

31.7 Events outside our control. We are not responsible for delays or failures caused by events beyond our reasonable control.

31.8 Notices. We send notices to the email address on your account or through your back office. Please send notices to us by email at support@kyanovo.com.

31.9 Headings. Headings are for convenience only. They do not change the meaning of any section.
